All items are sold "as-is" and "where-is" with no warranties expressed or implied. Buyers in default will be charged a 15% re-listing fee based upon their high bid amount. There are no refunds or exchanges. Please bid accordingly.
Auction Agreement: By submitting a bid in this auction, bidders agree to be bound by the terms and conditions of the sale as follows:
No Reserves: Each lot will sell to the highest bidder without reserve.
No Buybacks: All sellers are contractually prohibited from bidding on lots they have consigned to the auction.
No Returns: All sales are final. There are no returns, refunds, or adjustments.
Response to Inquiries: For any questions / inquiries submitted to Tays Realty & Auction, LLC by phone (931-526-2307), email (bidding@taysauctions.com) or facsimile (931-520-7761) after regular office hours of Monday-Friday, 8:00 AM to 5:00 PM C.S.T., a staff member of Tays will respond within 24 hours after the receipt of the communication. Communications directed to any other phone numbers or emails may experience a longer response time.
Auction Ending – Real Estate: Beginning at the stated closing time, the auction software will conclude bidding for the auction lots with the following exception: if a bid is placed in the last five (5) minutes remaining for any of the auction lots, bidding for that lot will remain open for an additional five (5) minutes. Example: Auction ending time is 10:00 AM. A bid is made at 9:57 AM. The bidding is then extended to 10:02 AM.
Auction Ending with Timed Ending - Real Estate: 'Timed Ending' is a feature where the Auction Ending time for multiple lots is linked together. Should a bid be placed on any lot in the last five (5) minutes remaining, bidding for ALL lots within that 'Timed Ending' will remain open for an additional five (5) minutes. The lots that are contained within any 'Timed Ending' will be indicated in the Description field by a 'TIMEDENDING' in the bottom right of the field. Example: Auction ending time is 10:00 AM. A bid is made at 9:57 AM on at least one of the 'Timed Ending' lots. The bidding is then extended to 10:02 AM for ALL lots within that 'Timed Ending'.
Buyer’s Premium: A 10% Buyer's premium will be added to the final bid to determine the contract sales price
Outbid Notification: The bidding software will notify bidders by email when they have been outbid. Bidders can also check their My Account -> My Bids or My Favorites for real-time status of items. Items the bidder is no longer winning will be marked with a red 'losing' indicator. Items the bidder is winning will be marked with a green 'winning' indicator.
Agreement of Purchase and Sale: The purchaser(s) shall execute an agreement of purchase and sale, in the form provided by the auctioneer, without modification, immediately after being declared the high bidder.
Payment for Real Estate: The purchaser(s) shall pay an amount equal to 20% of the total contract sales price to the Escrow Agent within three (3) business days. The Escrow Agent shall accept the following forms of payment: wire transfer or cashier’s check. There may be a fee associated with payment of the deposit or purchase money by wire transfer. Contact the Escrow Agent if you intend to pay this way.
Convenience Fee: There will be a four and a half percent (4.5%) convenience fee added to invoices paid with a credit/debit card.
Payment for Equipment:
Invoices will be available in the winning bidder's account within 4 hours of the conclusion of the auction (i.e. last lot sold).
Buyers must submit payment in full within three (3) business days. Payments may be made at the scheduled auction pick-up or online in the bidder’s account by credit card. All remaining unpaid invoices after the pick-up date will be charged to the buyer’s credit card on file the following business day.
We offer multiple ways to pay for your purchase:
-Cash
-Personal and company checks are only accepted in amounts less than $1,000.
-Certified or cashier's checks
-Credit cards (MasterCard, Visa, Discover, American Express). There will be a four and a half percent (4.5%) convenience fee added for payments by credit cards. Credit card payments may not exceed $10,000 per sale.
-Wire transfers (a $15 service fee will apply to wire transfers below $5,000). Please email bidding@taysauctions.com for wire transfer instructions. Wire transfers can take up to 24 hours to complete so please arrange before scheduled pick-up date.
*All out of state buyers must pay by wire transfer and must be paid in full within three (3) business days of auction close.
Risk of Loss: Merchandise becomes the full responsibility of the bidder at time of payment and the bidder assumes all risk of loss and damage to property at that time. Tays Realty & Auction, LLC reserves the right to resell any property not paid for in full by the conclusion of the stated pickup period. In any such event, the bidder will still be responsible for payment for the original purchase and the costs of collection of this payment and/or damages resulting from the resale of the property.
Pick-up: All items may be picked on the scheduled pick-up date & time once Tays Realty & Auction, LLC has received and acknowledged payment in full. Bidders are responsible for rigging, loading, and moving all items purchased without assistance from Tays Realty & Auction, LLC. Boxes/containers/packaging supplies are the responsibility of the Bidder. Any items not removed by the conclusion of the scheduled pick-up will be considered abandoned property. Tays Realty & Auction, LLC reserves the right to resell the items and retain all sales proceeds as payment for accumulated, unpaid storage and handling. Bidder must bring copy of paid invoice and photo ID to pick-up.
Shipping: Shipping for this auction will not be provided by Tays Realty & Auction, LLC. Tays Realty & Auction, LLC will gladly recommend / facilitate shipping with third party moving/shipping companies. $10 handling fee and actual shipping costs will be charged to the Buyer's invoice.
Escrow Agent: The deposit, earnest and purchase monies in respect of the property shall be paid to and deposited with the escrow agent listed in the Escrow Agreement (see Auction Documents section).
Deed: Seller shall provide a free-and-clear Warranty deed unless otherwise stated.
Title Insurance: Purchaser may purchase title insurance from the Escrow Agent at purchaser’s cost.
Closing: A Cash Closing will be handled by the BUYERS closing agent, and at the BUYERS expense. A Closing involving Financing will be handled as required by the BUYERS Lending Institution and at the BUYERS expense. If the property is sold in multiple tracts and each tract is sold to the same buyer the 2024 Property Taxes to be prorated to date of closing. If tracts sell to multiple buyers, 2024 taxes will be paid by Seller. Back taxes and Greenbelt Rollback Taxes, if any, will be paid by the Seller. If the property sells as one tract the 2024 Property Taxes to be prorated to date of closing. Back taxes, if any, will be paid by the Seller. The balance of the purchase price shall be paid at or before closing. Closing shall take place on or before 30 days after end of auction, unless otherwise stated in the Sales Contract (see Auction Documents section). The Escrow Agent will schedule and conduct the closing.
Closing Costs: At closing, Seller shall pay for its escrow and closing fees and all of the costs for preparation of all documents to convey the property. At closing, purchaser shall pay for its escrow and closing fees, any and all recording fees, and all other sale, financing or closing fees as required.
Cash Sale: This is a cash sale and is not contingent on purchaser’s ability to obtain financing.
Possession: Purchaser will receive possession at closing.
As-Is Sale: The Purchaser shall accept the property in an as-is condition with all faults as of the closing date and the purchaser shall specifically agree that the seller has not and does not make any representations or warranties of any kind whatsoever, expressed or implied, to the purchaser regarding the property or any improvements thereon. The property is selling subject to anything an accurate survey or personal inspection of the property may reveal, including any existing rights-of-way, easements or claims to easements, encroachments, rights or claims of parties in possession, restrictive covenants and easements, flood zones, zoning or subdivision regulations, building codes, governmental agencies regulations, environmental conditions, lead-based paint, asbestos, radon gas, hazardous materials, any mineral rights, water rights, riparian or littoral rights, and reservations or conveyances, if any. The purchaser shall have satisfied himself as to the location and condition of the property, and all descriptions thereof, before bidding. All information contained in the brochure and all promotional materials, including, but not limited to, square footages, acreage, dimensions, maps, taxes, etc., was provided by the seller or obtained from public record and is believed to be correct; however, neither the seller nor the auctioneer makes any guarantee or warranty as to the accuracy or completeness of such information.
Easements: Sale of the property is subject to any and all easements of record.
Survey: The property will be conveyed according to the existing legal description from the previous and last conveyance unless stated that a new, current or existing survey is available.
Agency: Tays Realty & Auction, LLC and its representatives are exclusive agents of the Seller and are agents of no other party to this transaction.
Equal Opportunity Clause: All bidding is open to the public. The property is available to qualified purchasers without regard to a prospective purchaser’s race, color, religion, sex, familial status, national origin, or physical handicap.
Debt Collection and Interest Charges: The bidder agrees to pay all reasonable attorney fees and other costs incurred by Tays Realty & Auction, LLC in its efforts to collect unpaid funds from the bidder. The bidder agrees that a fee of 2% of the outstanding balance per month be added to any unpaid balance due Tays Realty & Auction, LLC. Any debt collection or dispute proceedings will be heard in Putnam County, Tennessee.
Guaranty Agreement: By submitting a bid in the name of a business entity or corporation, the individual submitting the bid enters into a guaranty agreement whereby he or she personally guarantees payment to Tays Realty & Auction, LLC of any bid amount not paid when due by the business entity or corporation, for any reason, together with all collection expenses incurred to enforce collection, including a reasonable attorney’s fee.
Limitation of Liability: If, for any reason, Tays Realty & Auction, LLC is unable to make available or deliver any Purchase, or portion thereof, or documentation required in respect of any Purchase, the sole liability of Tays Realty & Auction, LLC, if any, shall be the return of monies paid in respect of such Purchase upon its return by Purchaser.
Age Requirement: All bidders must be 18 years of age or older.
Bidder Information and Security: All registration information the bidder provides to Tays Realty & Auction, LLC shall be current, complete, and accurate. All bidders are responsible for any bids placed under their bidding numbers and passwords. The security of bidder information is the responsibility of the bidder. Bidders must notify Tays Realty & Auction, LLC if they believe that their bidder number and password have been compromised.
Owner Information: Seller’s name, if available, listed on each lot.
